1. Company Information & Business Scope

EGEXO operates as a specialized Egyptian company dedicated to growing, manufacturing, producing, and exporting high-quality natural loofah products. Our comprehensive product range includes body sponges, bath accessories, kitchen cleaning tools, and bulk loofah materials sourced directly from our Egyptian cultivation farms.

Our Business Services Include:

• Wholesale supply of natural Egyptian loofah sponges in various sizes and grades
• Custom manufacturing of branded loofah products for private label clients
• Bulk export services to international markets and trading partners
• Direct supply partnerships with retailers, e-commerce platforms, and distributors
• Quality assurance and certification services for organic and sustainable products

2. Wholesale Trading Terms & Conditions

All commercial transactions with EGEXO are conducted on a business-to-business basis. These terms specifically apply to wholesale purchases, bulk orders, and commercial trading relationships.

Minimum Order Requirements:

• Standard wholesale orders require minimum quantities as specified in our current price list
• Custom manufacturing projects have separate minimum order quantities based on product specifications
• Sample orders are available for qualified business customers at reduced minimums

Pricing and Payment Terms:

• Terms of Price: Prices are in US Dollar – Prices are EX-WORKS, Damanhour, Egypt. Prices will be FOB, any Egyptian Port for QTY of 20 Feet Container (FCL)
• Terms of Payment: 50% Advance payment & 50% before shipping OR Irrevocable L/C at sight through our bank
• All prices are subject to change based on market conditions and raw material costs
• Volume discounts apply to large orders as outlined in our wholesale pricing structure

3. Product Quality Standards & Specifications

EGEXO maintains strict quality control standards throughout our growing, harvesting, and manufacturing processes to ensure consistent product excellence for our wholesale partners.

Product Specifications:

Each product category maintains specific quality parameters including size ranges, density grades, color consistency, and texture standards. Detailed specifications are provided in our wholesale catalog and technical data sheets.

4. Shipping, Delivery & International Export

EGEXO provides comprehensive shipping and export services to ensure reliable delivery of your wholesale orders to destinations worldwide.

Shipping Terms & Available Incoterms:

• EXW (Ex Works): Buyer collects goods from our facility in Damanhour, Egypt
• FOB (Free on Board): Delivery to Egyptian port with goods loaded on vessel
• CNF (Cost and Freight): Including freight costs to destination port
• CIF (Cost, Insurance, and Freight): Including insurance and freight to destination
• DDP (Delivered Duty Paid): Complete delivery to customer’s location including all duties
• Express Shipping: Available for sample orders and urgent deliveries worldwide

Delivery Timeframes:

• Standard wholesale orders: 15-25 business days from order confirmation
• Custom manufacturing orders: 30-45 business days depending on specifications
• Sample orders: 5-10 business days via express courier services

5. Intellectual Property & Brand Protection

EGEXO respects intellectual property rights and expects the same from our business partners. Our brand name, logos, product designs, and proprietary manufacturing processes are protected intellectual property.

Usage Rights:

• Customers may use EGEXO branding for marketing purposes only with written permission
• Private label customers receive full rights to use their own branding on our products
• Product photography and marketing materials are available for authorized resellers

6. Business Partnership & Distribution Agreements

EGEXO actively seeks long-term partnerships with qualified distributors, retailers, and trading partners who share our commitment to quality and sustainable business practices.

• Certificate of Origin provided for all international shipments
• Agricultural certification for organic and sustainable farming practices
• International organic certification available upon request
• Phytosanitary certificates provided for all international shipments

8. Limitation of Liability & Risk Management

While EGEXO maintains comprehensive quality control and insurance coverage, certain limitations apply to our business relationships and commercial transactions.

Force Majeure:

EGEXO shall not be liable for delays or inability to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, transportation disruptions, or material shortages.

9. Privacy & Data Protection

EGEXO respects the privacy and confidentiality of our business partners and maintains strict data protection standards for all commercial information.

Information Security:

• Customer business information kept strictly confidential
• Secure data transmission and storage protocols implemented

10. Dispute Resolution & Governing Law

EGEXO is committed to maintaining positive business relationships and resolving any disputes through professional and efficient means.

Resolution Process:

1. Direct negotiation between parties to resolve commercial disputes
2. Mediation through recognized international commercial mediation services
3. Arbitration under Egyptian Commercial Law for unresolved disputes

These Terms & Conditions are governed by the laws of the Arab Republic of Egypt, with disputes subject to the jurisdiction of Egyptian commercial courts.

11. Terms Modification & Updates

EGEXO reserves the right to update these Terms & Conditions as our business evolves and market conditions change. Customers will be notified of significant changes through our official communication channels.

Continued business relationships and orders placed after terms updates constitute acceptance of the revised conditions.
